GRUPO BARENTZ MEXICO, S. DE R.L. DE C.V. - Terms and Conditions of Sale

1. Applicability. The applicable supply agreement (“Supply Agreement”), invoice, credit application, purchase order, agreement, or any document(s) ancillary to the foregoing (collectively with the Supply Agreement, the “Agreement”), by and between the entity or person named as the “customer,” “purchaser,” or “buyer” in the Agreement (“Customer”), and GRUPO BARENTZ MEXICO, S. DE R.L. DE C.V., a Mexican limited liability company, together with its affiliated entities, (collectively, “Barentz”) as the seller of Products or Services, collectively as the “Parties,” and each as the “Party,” is subject to the following general Terms and Conditions of Sale (“T&C”). (An "Affiliate" means any company that Controls, that is Controlled by, or that is under common Control with another company, whether directly or indirectly; and "Control" means the ability to exercise more than fifty percent (50%) of the voting rights with regard to a company, whether directly or indirectly, or the ability to appoint more than half of the members of the board of a company.) These T&C take absolute precedence and prevalence over any terms and conditions of the Customer and acceptance of the Agreement is expressly conditioned on the Customer’s assent, whether expressed or deemed as provided below, to the terms and conditions contained herein, as may be modified from time-to-time, including any additional or different terms. Placing a purchase order, execution, or acceptance, as the case may be, of the Agreement by Customer or any acceptance by Customer of Services or Products shall constitute assent by the Customer to these T&C. In the event of any inconsistencies between the Supply Agreement and these T&C, the Supply Agreement shall control. In the event that Customer attempts to change or add any terms and/or conditions, Barentz hereby affirmatively rejects any such modification unless expressly and specifically agreed to by Barentz in writing. No conduct on the part of Barentz, including but not limited to, (i) acceptance of a purchase order without expressly rejecting any Customer pre-printed or standard terms or conditions reflected therein; (ii) delivery of Products; or (iii) acceptance of payment for Products, will constitute acceptance by Barentz of such modified or additional terms or conditions, unless acceptance by Barentz is duly notified to Customer in writing and signed by an authorized legal representative of Barentz. By acceptance of these T&C, whether expressed or deemed, as provided herein, Customer waives the application of any legal provisions that would govern the terms and conditions of the Supply Agreement or other Agreement or modify the interpretation of the same or of these T&Cs, including without limitation to the “knock-out rule,” as well as any other similar doctrine under the laws of any relevant jurisdiction, such as the United States Uniform Commercial Code, Mexican Commercial Code, or Federal Civil Code, or that of any political subdivision; therefore, such legal provisions and doctrines shall not apply if interpretation of the Agreement is required under law. Accordingly, upon such acceptance by Customer of these T&C, these T&C shall solely govern all matters pertaining to any Agreement.

2. Definitions. Capitalized terms not otherwise defined in these T&C shall have the meanings ascribed to them in the Supply Agreement. “Products”: products or goods, as set forth in the Agreement, offered, sold and provided to Customer by Barentz. “Services”: services, as set forth in the Agreement, offered and provided to Customer by Barentz.

3. Delivery of Services and Products. Customer may order Services or Products pursuant to these T&C or the Agreement by delivering to Barentz a written purchase order specifying the specific Services or Products being ordered, the quantity, delivery date, delivery address, and any other information required by Barentz. All purchase orders are subject to acceptance by Barentz, in writing. Barentz shall provide Customer with the Services or Products for the prices set forth in the Agreement. With respect to the quantity of Products to be delivered, Barentz reserves the right to deviate therefrom up to five percent (5%) (upwards or downwards) and in case of a deviation the actual delivered quantity will be invoiced. To the extent Barentz accepts an order with an indefinite delivery date, Barentz has the right to schedule manufacturing and delivery at its convenience and hold any such Products prior to such delivery at the Customer’s sole risk and expense. Customer shall be responsible for all shipping costs, insurance cost, sales tax/duties, use tax/duties, customs, duties, and tariffs associated with the Services or Products in accordance with the agreed Incoterm. Unless otherwise set forth in the Agreement, all Products shall be shipped EXW (Incoterms 2020 or latest version) Barentz’s facility or premises. In the absence of written agreement between Barentz and the Customer, Barentz will use its judgment as to the method of shipment and Customer agrees to accept such method of shipment and shall pay for the costs of such shipment. All risk of loss is transferred to Customer when Products are delivered in accordance with the agreed Incoterm. Customer cannot modify, terminate, cancel, or otherwise alter orders, or defer shipment, after acceptance of the order from Barentz without the prior written consent of Barentz, which may be denied, withheld, or conditioned in Barentz’s sole discretion. All custom or non-standard items, if any, shall be ordered from Barentz and supplied to Customer only on a non-cancellable and non-returnable basis.  Delivery times shall be extended for all such custom or non-standard items due to any needed specialty materials or research and development.

4. Rejection of Products or Services. In case of Customer’s wrongful rejection of Services or Products, or cancellation or repudiation of any Agreement to purchase Services or Products, Customer shall be responsible for and indemnify Barentz against liability and expense incurred and commitments made by Barentz. In addition to all other damages and remedies, Customer shall pay Barentz a cancellation fee equal to fifteen percent (15%) cancellation fee on the contract value of Services completed or Products completed and ready for shipment. In the event Customer fails to timely make payment to Barentz of any amounts due and owing to Barentz (including any applicable surcharge, tax, or freight charge), Barentz shall have the right to terminate any order or any unfulfilled portion thereof, and Barentz may terminate any other Agreement between Barentz and Customer. Delivery dates are approximate. Barentz will not be liable for any delay in performance of the Agreement or delivery of Services or Products, or for any damages suffered by Customer by reason of delay. Acceptance of Products in accordance with Section 6 hereof upon delivery shall constitute a waiver by the Customer of any claim for damages on account of non-shipment or delays in delivery or performance.

5. Prices. All prices are subject to change without notice and are excluding VAT and any sales, services, or use taxes, which will be added to an invoice at the applicable percentage. Products are to be billed at the price in effect at the time the shipment is made. Shipments made on or after an effective date of a price change will be billed at the new price. In the event of a price decrease, price adjustment on orders delivered to the carrier or Customer prior to said price change, will not be allowed. Barentz shall be entitled to pass on to Customer, by a corresponding adjustment of the price, any increase in prices, changes in exchange rates, import duties, and all other external circumstances increasing the cost price, arising after the conclusion of the order. Furthermore, Customer hereby acknowledges that, due to the global uncertainty, forwarders and suppliers are claiming shortages of equipment and resources as well as transportation disruptions and are therefore imposing significant increases in service fees and charges as well as surcharges with associated delays. As a result, Barentz is unable to account for (and Customer hereby acknowledges) shortages of or inability to obtain (upon Barentz’s usual terms and from its usual sources of supply) suitable or sufficient energy, labor, machinery, facilities, raw materials, transportation, supplies or other resources or services. Accordingly, Products or Services are subject to possible delays, charges, and/or surcharges beyond the control of Barentz and its suppliers. In Barentz’s sole and absolute discretion, these additional charges and/or surcharges shall be added to the invoice provided to Customer and Customer shall agree to pay the same. Barentz shall use commercially reasonable efforts to inform Customer if such charges and/or surcharges will occur. Such change of price shall not entitle Customer to full or partial suspension or termination of the Agreement or any compensation. In Barentz’s sole and absolute discretion, to the maximum extent legally permissible, it shall retain the right to assign, pledge, discount, or factor its accounts receivable or invoices arising out of sales to Customer or any purchase order issued by Customer to a third party.

6. Inspections and Nonconformity. Customer shall inspect the Products within TWENTY-FOUR (24) HOURS after delivery of such Products to their shipping destination. Customer shall notify Barentz in writing within ten (10) days of delivery of any claimed failure of the Products to conform to the specifications or grade set forth in the Agreement and allow Barentz a reasonable opportunity to inspect such Products to enable Barentz to verify the alleged nonconformity and, upon such verification, order a replacement shipment (if practicable). Customer’s failure to notify Barentz within ten (10) days of delivery of any alleged nonconformity of the Products shall constitute an acknowledgement by Customer that the Products delivered conform and shall constitute an irrevocable acceptance of such Products by Customer and any claim by Customer with respect to the foregoing is automatically waived. Any latent defect not reasonably detectable upon receipt of the Products shall be notified to Barentz immediately upon Customer’s detection, but in no event not later than six (6) months after delivery of Products. Customer’s failure to give notice of any latent defect claim within six (6) months after delivery of Products shall be deemed an absolute and unconditional waiver for such claim. All requests for returns to Barentz of any nonconforming Products shall be in writing and shall include Customer’s purchase order number, Barentz’s order confirmation number, Barentz’s invoice number, any other information required by Barentz, and reasonably state the basis for such return. Returns are prohibited without Barentz’s prior written authorization, which may be withheld in Barentz’s sole discretion. In the event of a permitted return, Barentz shall have the option to charge Customer a restocking fee. No claim, return, or replacement shall be allowed in respect of any Products which have been altered, commingled, misused, neglected, damaged, or stored in any manner. No claim shall entitle Customer to termination of the Agreement or suspension of any obligation under the Agreement. Barentz may require that Customer destroys the Products that would otherwise be returned, in accordance with instructions given by Barentz and at Barentz’s cost, provided that these costs are reasonable and have been approved in advance in writing. If Barentz requires that Products be destroyed, Customer shall provide proof of destruction and Barentz may require that a representative of Barentz will supervise the destruction.

7. Payments, Taxes and Accounting. Barentz shall invoice Customer for Services or Products, sales services, and use taxes and any shipping costs, customs, duties, and tariffs (in accordance with the agreed Incoterm) associated with the Services or Products (each, an “Invoice”). Unless otherwise agreed in writing with Barentz, Customer agrees to pay each Invoice within thirty (30) calendar days following the date of each Invoice. In deviation from the agreed term of payment, Barentz reserves the right to deliver C.O.D. or demand advanced payment in which event Customer is obliged thereto, if in Barentz’s sole opinion such way of payment is required considering the financial position of Customer, which shall be the case if, among other things, Customer does not strictly meet its obligations to Barentz or any other supplier and if any of Customer’s assets are attached. Barentz reserves the right to apply any and all payments to past due balances. Barentz’s obligation with respect to any errors resulting in Customer overpayments for Services or Products is limited to granting invoice credits equal to the dollar amounts erroneously billed. Under no circumstance will any billing error affect Customer’s obligation to pay for Services or Products. Barentz shall have the right to employ an attorney to collect any balance due under the T&C and/or Agreement, and Customer agrees to pay all collection costs incurred by Barentz, including its reasonable attorney’s fees.

YOU, AS CUSTOMER, ACKNOWLEDGE AND AGREE THAT, DUE TO THE INCREASE IN WIRE AND ELECTRONIC COMMUNICATIONS FRAUD, GRUPO BARENTZ MEXICO, S. DE R.L. DE C.V., AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES RARELY CHANGE OR COMMUNICATE CHANGES TO WIRE TRANSFER OR BANKING OR PAYMENT INSTRUCTIONS ELECTRONICALLY. IN THE EVENT YOU RECEIVE NEW INSTRUCTIONS OR CHANGES TO EXISTING WIRE TRANSFER OR BANKING OR PAYMENT INSTRUCTIONS ELECTRONICALLY, YOU AGREE TO IMMEDIATELY CONTACT YOUR BARENTZ REPRESENTATIVE BY TELEPHONE TO CONFIRM THE VALIDITY OF SUCH INSTRUCTIONS INDEPENDENTLY. BARENTZ DISCLAIMS ANY AND ALL LIABILITY ARISING FROM YOUR FAILURE TO COMPLY WITH THE FOREGOING.

8. Retention of Title. Barentz retains title to all Products delivered by Barentz to Customer. The title of the Products will only pass to Customer when it has fulfilled all its payment obligations under the Agreement or any other agreement with Barentz, including that which Customer may owe due to its failure to meet its obligations under those agreements. Irrespective of this retention of title, the risk on the delivered Products will be borne by Customer from the moment of delivery in accordance with the agreed Incoterm. Customer must immediately inform Barentz if an attachment has been imposed on the Products delivered and on which the title is still retained. Customer must also immediately notify the attachment creditor of the fact that title of the seized Products rests with Barentz. If Customer fails to comply with its payment obligations towards Barentz or causes it to have good reason to fear that it will fail in these obligations, Barentz shall be entitled to take back the Products on which the title is still retained. After Barentz has invoked its retention of title, Customer will allow Barentz to enter the places where the retained Products are located.

9. Confidentiality. Barentz may, from time to time, provide to Customer or Customer may have access to Barentz’s Confidential Information. “Confidential Information” shall mean any information in any form disclosed or made available by Barentz or its representatives to the Customer or its representatives that the Customer knows or has reason to know (either because such information is marked or otherwise identified by Barentz orally or in writing as confidential or proprietary, because it has commercial value, because it is not generally known in the relevant trade or industry, or because a reasonable person would consider it to be confidential) is confidential information, and shall include, without limitation, (i) Barentz’s trade secrets (defined as information, including, without limitation, the whole or any portion or phase of any scientific or technical information, design, process, procedure, formula, recipe, pattern, compilation, program, device, method, technique, or improvement, or any business information or plans, financial information, or listing of names, addresses, or telephone numbers, that satisfies both of the following: (1) it derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and (2) it is the subject of efforts that are reasonable under the circumstances to maintain its secrecy), know how, inventions, ideas, discoveries, developments, processes, formulas, recipes, diagrams, drawings, designs, software, applications, source and object codes, data, programs, improvements, techniques, product data and specifications, test results, and other technical information, Barentz’s Products and Services and the products and services of its customers and prospective customers; (ii) information concerning Barentz’s business and/or the business of its customers and prospective customers, including plans for research, development, and new products, cost information, profits, sales information, accounting and financial information, business plans, markets and marketing methods, advertising strategies, customer lists and customer information, purchasing techniques, supplier lists and supplier information; and (iii) information concerning Barentz’s employees, including their compensation and skills. Except as expressly permitted herein, Customer (i) shall not disclose any Confidential Information to any third party or use any of the Confidential Information for any purpose, except as is necessary to perform its obligations or exercise its rights as set forth herein or in the Agreement; and (ii) shall use adequate safeguards to protect Confidential Information against unauthorized access or disclosure and will exercise no less care to safeguard the Confidential Information of Barentz than Customer exercises in safeguarding its own Confidential Information. Confidential Information shall not include any information that: (i) corresponds in substance to information developed by Customer without reference to the Confidential Information or was lawfully in Customer’s possession prior to receipt of the same from Barentz; (ii) now is or hereafter becomes publicly known through no fault of Customer; or (iii) otherwise lawfully becomes available to Customer from a third party not known by Customer to be under an obligation of confidentiality to Barentz. Upon termination of the Agreement, all Confidential Information and other information shall be returned or destroyed promptly upon request, no copies thereof shall be retained by Customer, and Customer shall not thereafter utilize such information in any respect whatsoever. Customer shall not perform or cause to be performed: (i) any analytical testing for the purpose of identifying the chemical composition or make up; or (ii) any analytical methods related to reverse-engineering or reproduction of any sample or Product of Barentz, nor shall it use or sell products that have been reverse-engineered from the Products. Customer shall not sell, transfer, or entrust any sample to any third party, without prior written consent of Barentz. No right or license in the Confidential Information is granted through this Agreement, unless expressly stated.

10. Non-Interference. Customer agrees during the Term of the Agreement and for twenty-four (24) months after the termination of the Agreement for any reason whatsoever, that it shall not, directly and/or indirectly, solicit or induce or attempt to solicit or induce any of the suppliers with which, to the Customer’s knowledge, Barentz does business, to terminate such supplier’s relationship with Barentz, nor shall Customer interfere with or disrupt (or attempt to interfere with or disrupt) any such relationship.

11. Intellectual Property. Except for the limited licensed granted pursuant to this Section 11, Customer shall have no rights with respect to any of Barentz’s existing or subsequently acquired or developed Intellectual Property, as defined below, rights or trade secrets or Confidential Information of Barentz, and Customer hereby acknowledges that it shall not acquire any rights in respect thereof and that all such Intellectual Property, trade secrets, and Confidential Information are and shall remain vested in or controlled by Barentz. Unless otherwise agreed in writing, any and all Products and/or Services, together with any and all Derivatives thereof, shall be deemed to be Intellectual Property of Barentz. “Intellectual Property” for purposes of these T&Cs means all intellectual or industrial property in any jurisdiction, whether or not filed, perfected, registered or recorded, including without limitation: (i) patents, patent applications, provisional applications, patent disclosures, including all ideas, inventions and improvements disclosed therein, and all reissues, continuations, continuations in part, divisions and reexaminations thereof; (ii) trademarks, service marks, trade names, trade dress, logos, slogans, domain names, including all goodwill appurtenant thereto, and all registrations and applications for registrations thereof and all renewals and extensions thereof; (iii) works of authorship, copyrights, moral rights, and mask works and all registrations and applications for registration thereof; (iv) computer software, software applications and platforms, websites, disks, disk drives, data, data bases and user documentation and audio visuals, domain names, and text materials; (v) all trade secrets, research and development materials, processes, procedures, know how, ideas discoveries, inventions, customer lists, supplier lists, formulas, recipes, drawings and designs, technical data, marketing, financial and business plans; (vi) advertising materials currently or in the future utilized by the Barentz; and (vii) copies and tangible embodiments thereof (in whatever form or medium), and related documentation and goodwill. “Derivative” means (a) any work, product, service, improvement, modification, alteration, Enhancement, new version, translation, adaptation, design, concept, interface element, materials and documentation, in any medium, format or form whatsoever, that is derived in any manner, directly or indirectly, from any Services or Products or any part or aspect thereof; (b) all “derivative works” of any Services or Products as understood under the copyright laws of the United States (or any equivalent concept in any applicable jurisdiction); and (c) all materials and documentation related to any of the foregoing. “Enhancement” means any change or addition that, when made, adds new function or improves utility, efficiency, functional capability or application. Customer acknowledges and agrees that Barentz owns the exclusive right, title and interest into all of Barentz’s Intellectual Property. Customer shall not at any time during the Term and any time thereafter do or permit to be done any act or thing which challenges, impairs, or may challenge or impair the rights of Barentz with respect to Barentz’s Intellectual Property. Customer will never represent that it has any ownership in any of Barentz’s Intellectual Property. Customer expressly agrees that all of the use and good will of the Intellectual Property shall accrue to the sole benefit of Barentz. To the extent Customer acquires any rights in Intellectual Property of Barentz notwithstanding the above, including namely through the conception or creation of any Derivatives, Customer hereby assigns and agrees to assign, all right, title and interest in such Intellectual Property to Barentz and hereby agrees to take any action and sign any document reasonably required by Barentz to give effect to such assignment. Customer represents and warrants to Barentz that Customer owns or has obtained all rights in Customer IP necessary and sufficient to allow Barentz to provide Services and/or Products to Customer. To the extent any of Barentz’s Intellectual Property is incorporated into any Products or Services and so long as Customer has paid Barentz any and all amounts owed to Barentz, Barentz hereby grants Customer a limited, revocable, royalty-free, non-assignable, non-sublicensable, non-exclusive license to use such Barentz’s Intellectual Property solely with its marketing and sale of the Products. Customer shall have no interest in or claim to Barentz’s Intellectual Property other than the license described above. To the extent applicable, Customer hereby grants to Barentz, and Barentz hereby accepts from Customer, a royalty-free, perpetual license to use Customer IP in the course of providing Services and/or Products to Customer. For purposes of these T&C, “Customer IP” shall mean the Intellectual Property of Customer provided by Customer to Barentz and used to provide and/or create (as the case may be) the Services and/or Products. Barentz gives no warranties with respect to the Intellectual Property, including without limitation as to the accuracy, usefulness, or completeness thereof.

The Intellectual Property obligations under this Section 11 shall continue indefinitely.

12. Remedies. The parties hereby acknowledge and agree that the extent of damages in the event of a breach of the restrictive covenants contained in these T&C may be difficult or impossible to ascertain and that there may be no adequate remedy at law in the event of any such breach. Consequently, in the event of such breach, the non-breaching party shall be entitled, in addition to any other remedies it may have at law, to seek an injunction or other equitable relief to enforce any or all of the covenants contained in these T&C. The breaching party expressly waives (i) the defense that a remedy in damages will be adequate and (ii) any requirement in an action for specific performance or injunction for the posting of a bond.

The rights, powers and remedies that may be given or reserved to the parties by these T&C and the Agreement shall be cumulative and in addition to all other and further remedies provided by law or at equity. These T&C and the Agreement shall not be construed to deprive the parties of any other rights, powers and other remedies otherwise given by law or at equity. No delay or failure by Barentz in exercising any right or remedy and no partial or single exercise of such right or remedy shall constitute a waiver by Barentz of such right or any other rights in these T&C and/or the Agreement. No consent by Barentz to a breach of any express or implied term of these T&C and/or the Agreement shall constitute a consent to any prior or subsequent breach of the same or any other term.

13. WARRANTY AND DISCLAIMER. TO THE EXTENT APPLICABLE, BARENTZ WARRANTS THAT THE PRODUCTS AND SERVICES AT THE MOMENT OF DELIVERY SHALL MATERIALLY MEET THE PARTICULAR SPECIFICATIONS AGREED TO IN WRITING. NOTWITHSTANDING THE FOREGOING, IN THE EVENT CUSTOMER FAILS TO TIMELY PAY FOR SUCH PRODUCTS IN ACCORDANCE WITH THE T&C SET FORTH HEREIN, ANY SUCH WARRANTY SHALL BE VOID AB INITIO. EXCEPT AS SPECIFICALLY SET FORTH IN THE AGREEMENT OR A SEPARATE WRITING, BARENTZ EXPRESSLY DISCLAIMS ALL AND MAKES NO OTHER WARRANTIES WHETHER EXPRESSED, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED OR OTHER WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF SERVICES OR PRODUCT PROVIDED UNDER THE AGREEMENT. CUSTOMER ACKNOWLEDGES, UNDERSTANDS AND AGREES THAT, UNLESS OTHERWISE SET FORTH HEREIN TO THE CONTRARY, BARENTZ WILL PROVIDE THE SERVICES AND PRODUCTS, AS APPLICABLE, “AS IS” WITHOUT ANY WARRANTY OR GUARANTY, EXPRESS OR IMPLIED. CUSTOMER ASSUMES ALL RISKS AND LIABILITY FOR (I) RESULTS OBTAINED BY THE USE OF THE PRODUCTS OR SERVICES, WHETHER USED AS DELIVERED OR IN COMBINATION WITH OTHER PRODUCTS; (II) DETERMINING FITNESS FOR USE IN, OR IN CONJUNCTION WITH, OTHER PRODUCTS; (III) THE TRUTHFULNESS AND ACCURACY OF CUSTOMER’S MARKETING AND ADVERTISING OF ANY PRODUCT OF CUSTOMER INTO WHICH THE PRODUCTS MAY BE INCORPORATED; (IV) OBTAINING GOVERNMENTAL HEALTH, SAFETY, ENVIRONMENTAL OR OTHER APPROVALS FOR UTILIZATION OF THE PRODUCTS; AND (V) FOR ANY LOSS OR DAMAGE RESULTING FROM THE HANDLING, USE OR MISUSE BY CUSTOMER OF THE PRODUCTS. CUSTOMER DECLARES THAT IT IS AWARE OF THE QUALITIES OF THE PRODUCTS SUPPLIED TO IT AND ALSO OF ALL LEGAL REGULATIONS RELATING TO THE PRODUCTS OR SERVICES SUPPLIED, TO WHICH IT AS A CUSTOMER IS BOUND. IN THE STORAGE, RESALE, TRANSPORTATION AND USE OF AND ALL FURTHER ACTS INVOLVING THE PRODUCTS SUPPLIED, CUSTOMER UNDERTAKES TO STRICTLY OBSERVE THE RELEVANT LEGAL REGULATIONS AND BARENTZ’S INSTRUCTIONS WITH RESPECT THERETO. FURTHER, BARENTZ EXPRESSLY DISCLAIMS ANY LIABILITY WHATSOEVER FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR PROFITS, LOSS OF CLIENTELE, INTERRUPTION OF BUSINESS, CAUSED BY BARENTZ’S NEGLIGENCE, DELAYS IN SHIPMENTS OR OTHERWISE.

14. INDEMNIFICATION. CUSTOMER CERTIFIES, REPRESENTS, AND WARRANTS THAT IT IS IN COMPLIANCE AND SHALL TAKE ALL NECESSARY ACTS TO REMAIN IN COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS. CUSTOMER SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS BARENTZ AND ITS AFFILIATES, MEMBERS, INVESTORS, MANAGERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AND THEIR SUCCESSORS IN INTEREST AND ASSIGNS (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, OR EXPENSES OF WHATEVER FORM OR NATURE, INCLUDING REASONABLE ATTORNEY’S FEES AND OTHER COSTS OF LEGAL DEFENSE, WHETHER DIRECT OR INDIRECT, THAT THEY, OR ANY OF THEM, MAY SUSTAIN OR INCUR AS A RESULT OF (I) ANY ACT OR OMISSION OF CUSTOMER; (II) A BREACH BY CUSTOMER OF ANY REPRESENTATION, WARRANTY, OR OBLIGATION WITH ANY INDEMNIFIED PARTY; (III) A RECALL OF THE PRODUCT THAT IS NOT SOLELY AND DIRECTLY CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF BARENTZ; OR (IV) A VIOLATION BY CUSTOMER OF ANY APPLICABLE LAW, REGULATION, OR ORDER OF THE UNITED STATES, CANADA, MEXICO, OR ANY OTHER APPLICABLE GOVERNMENT OR QUASI-GOVERNMENTAL AUTHORITY.

In the event the Products are manufactured according to Customer IP, drawings, models, samples, or any other directions in the widest sense of the word, received from Customer, Customer shall guaranty that it is the legitimate owner of Customer IP and in case of any controverse, Customer shall fully indemnify the Indemnified Parties against any claims of third parties based on the infringement of any trademark, patent, trade or consumer models or any other right of third parties, by manufacturing and/or supplying of such articles. If any third-party objects to the manufacturing and/or supply of the Products referred to on the grounds of any alleged right, Indemnified Parties shall unconditionally be entitled to immediately cease the manufacturing and/or supply and to demand compensation for the expenses incurred, without prejudice to any claims for possible damages against Customer and without Indemnified Parties being liable vis à vis Customer on any account whatsoever.

The indemnification obligations under this Section 14 shall continue indefinitely.

15. LIMITATION OF LIABILITY. BARENTZ SHALL NOT BE LIABLE FOR AND DISCLAIMS ANY AND ALL LOST PROFITS AND ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, SUCH AS, BUT NOT LIMITED TO, LOSS OF CONTRACT, LOSS OF USE OF THE PRODUCTS, OTHER LOSS OF MERCHANDISE, COST OF SUBSTITUTE GOOD, MERCHANDISE, MATERIALS AND FACILITIES, DOWN TIME COSTS, INCREASED COSTS OR CLAIMS OF THE CUSTOMER OR CUSTOMER’S CUSTOMERS, WHETHER ARISING OUT OF THE SERVICES, THE PRODUCTS, OR THE PERFORMANCE BY BARENTZ HEREUNDER OR UNDER THE AGREEMENT REGARDLESS OF WHETHER SUCH CLAIM IS BROUGHT IN TORT, BREACH OF CONTRACT, BREACH OF WARRANTY OR OTHER THEORY OF LAW OR EQUITY. CUSTOMER ASSUMES FULL RESPONSIBILITY FOR ANY LIABILITY ARISING OUT OF UNLOADING, DISCHARGE, STORAGE, HANDLING, USE AND DISPOSAL OF ANY PRODUCTS OR CONTAINER IN CONNECTION THEREWITH, INCLUDING, WITHOUT LIMITATION, THE USE OF SUCH PRODUCTS OR CONTAINER ALONE OR IN COMBINATION WITH OTHER SUBSTANCES, COMPLIANCE OR NON-COMPLIANCE WITH ANY LAWS, ORDINANCES, RULES, AND REGULATIONS. NOTWITHSTANDING THE FOREGOING, CUSTOMER’S EXCLUSIVE REMEDY AGAINST BARENTZ, AND BARENTZ’S SOLE OBLIGATION, FOR ANY AND ALL CLAIMS, WHETHER FOR BREACH OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE LIMITED TO EITHER REPAIR OR REPLACEMENT OF THE NONCONFORMING PRODUCTS OR REFUNDING THE AMOUNTS PAID BY CUSTOMER TO BARENTZ DIRECTLY ATTRIBUTABLE TO NON-CONFORMING PRODUCTS OR SERVICES. BARENTZ IS ONLY LIABLE FOR ANY DIRECT COSTS AND EXPENSES OF A RECALL IN THE EVENT THAT A RECALL OF ANY OF THE PRODUCTS IS NECESSARY (i) DUE TO A DEFECT IN THE PRODUCTS DIRECTLY AND SOLELY CAUSED BY BARENTZ, (ii) A FAILURE OF THE PRODUCTS TO CONFORM TO THEIR RESPECTIVE SPECIFICATIONS OR APPLICABLE LAWS, WHICH IS DIRECTLY AND SOLELY CAUSED BY BARENTZ AND/OR WITHIN THE CONTROL OF BARENTZ. IN ALL OTHER CASES, CUSTOMER SHALL BEAR ANY AND ALL COSTS AND EXPENSES OF SUCH RECALL. IF AND TO THE EXTENT A THIRD PARTY IS BOUND TO INDEMNIFY BARENTZ FOR ANY CLAIM OF CUSTOMER AGAINST BARENTZ, ANY LIMITATION OF SUCH THIRD PARTY’S LIABILITY, ENFORCEABLE BETWEEN THAT THIRD PARTY AND BARENTZ, SHALL ALSO APPLY BETWEEN BARENTZ AND CUSTOMER. IF AND INSOFAR AS, IN SPITE OF THE PROVISIONS OF THE AGREEMENT, ANY LIABILITY IS IMPOSED ON BARENTZ, FOR WHATEVER REASON, THIS LIABILITY IS LIMITED TO A MAXIMUM AMOUNT NOT EXCEEDING THE NET INVOICE VALUE, EXCLUDING VAT AND APPLICABLE SALES AND USE TAXES, OF THE DISPUTED PRODUCTS. CLAIMS FOR DAMAGES MUST BE REPORTED TO BARENTZ, IN WRITING, WITHIN TWO (2) MONTHS AFTER CUSTOMER HAS BEEN ABLE TO DISCOVER THE DAMAGE, UNDER PENALTY OF FORFEITURE OF ANY CLAIM FOR COMPENSATION. CUSTOMER WILL INDEMNIFY BARENTZ AGAINST CLAIMS FROM THIRD PARTIES, INCLUDING CUSTOMER’S CUSTOMERS, THAT EXCEED THE EXTENT OF LIABILITY REFERRED TO IN THIS CLAUSE. ALL POSSIBLE LEGAL CLAIMS BY CUSTOMER, WITH REGARD TO THE ALLEGED LIABILITY OF BARENTZ, EXPIRE IN ANY CASE ONE (1) YEAR AFTER THE DAMAGE WAS DISCOVERED AND IF CUSTOMER DID NOT START PROCEEDINGS AGAINST BARENTZ WITHIN THAT YEAR.

16. Termination and Suspension. If, in Barentz’s sole opinion, Customer becomes bankrupt or insolvent, has its business placed in the hands of a receiver, assignee, or trustee (whether by voluntary act or otherwise), transfers its material assets to its creditors, is merged or is acquired by any third party, ceases to function as a business entity or fails to conduct its operations in normal course of business, credit becomes impaired, does not properly or timely fulfill any of its obligations towards Barentz, or upon failure by Customer to make timely payment of any Invoice or amount due from Customer to Barentz, Barentz, in its sole discretion and upon written notice to Customer, may immediately terminate the Agreement or suspend its performance until such time as Barentz has received full payment for any Services or Products already delivered or in process. Unpaid balances will be subject to a finance charge of two percent (2%) per month (24% annually), or maximum amount permitted under law, until all unpaid balances are paid in full. Termination of the Agreement in accordance with the foregoing provisions will not affect (i) the rights and obligations of the Parties with respect to Invoices given by Barentz prior to the effective date of the termination, or (ii) terminate liabilities arising out of conduct prior to the actual date of termination.

17. Federal Laws and Regulations. Customer acknowledges that certain Services and/or Products sold by Barentz hereunder and any documentation and other technology of Barentz may be subject to application of federal laws, regulations, and orders, including, without limitation, the Export Administration Regulations maintained by the U.S. Department of Commerce, the Canadian Export and Import Permits Act and associated regulations, the Mexican Customs Laws, its regulations and any rules published by competent authorities thereunder, trade and economic sanctions and regulations maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury or the Government of Canada, the International Traffic in Arms Regulations maintained by the U.S. Department of State, the U.S. Foreign Corrupt Practices Act, as revised, the UK Bribery Act of 2010, the Canadian Corruption of Foreign Public Officials Act, Mexican Federal Anti-Corruption System Law and the Mexican Law for the Prevention and Identification of Operations with Resources of Unlawful Origin (Mexican Anti-Money Laundry Law), as well as their regulations and any rules published by competent authorities thereunder, all applicable local bribery laws, the Organization for Economic Cooperation and Development Anti-Bribery Convention, and United States Presidential Executive Order 13224, or other similar federal laws, regulations, rules, official standards or normative bodies pertaining to the sale of the Products and/or Services in any relevant jurisdiction (collectively, the “Federal Laws”). Customer certifies, represents, and warrants that it is in compliance and shall take all necessary acts to remain in compliance with all applicable Federal Laws. Customer hereby agrees to defend, indemnify, and hold Barentz harmless from and against any and all claims, damages, losses, risks, liabilities and expenses (including attorney’s fees and costs) arising from or related to any breach of the foregoing certification.

18. Miscellaneous. Barentz reserves the right to amend these T&Cs, from time to time, at its sole discretion, without prior notice to Customer. Solely with the exception of payment obligations, neither Party will be liable to the other for any delay or failure to render any performance under the Agreement, either in whole or in part, when the same results from causes beyond such Party’s reasonable control, including, without limitation, fires, accidents, labor strikes, lock-out, obstruction in traffic, shortages of material, materials or labor, mobilization, war, restriction of import and export, epidemics, pandemics, or acts of God, the public enemy or government, any non-performance, late performance or termination of agreements by Barentz’s suppliers, qualitative rejection by Barentz of the Products to be delivered and any difficulties or delays in the transportation or storage of the Products sold or acts of terrorism. Quantities of Products affected by any such circumstances may be eliminated from the Agreement without liability, but these T&C shall otherwise remain unaffected. If by reason of any such circumstances Barentz is unable at any time, or from time to time, to supply the total demand for Products, Barentz may distribute its available supply among any or all purchasers as well as departments and divisions of Barentz, on such basis as it may deem fair and practical, without liability for any failure to perform hereunder which may result therefrom. Customer agrees that the failure of Barentz at any time to require performance of any of the provisions in an Agreement or these T&C shall not operate as a waiver of its right to require strict performance of the same or like provisions, or any other provisions hereof or thereof, at a later time. These T&C, collectively with any and all Agreements, constitute the entire agreement and supersedes all prior agreements and understandings, oral and written, between the Parties hereto with respect to the subject matter hereof. Customer shall not assign any Agreement or rights or obligations under these T&Cs without Barentz’s prior written consent, and any assignment or attempt to do so without such consent will be void and of no effect. If such consent is provided by Barentz, these T&Cs shall bind Customer and Barentz and their respective heirs, executors, administrators, successors. The headings and captions set out in these T&Cs are for convenience of reference only and shall be without substantive meaning. Unless otherwise set forth in writing to the contrary, all Agreements are non-exclusive. Nothing shall prevent Barentz from entering into similar arrangements with, or otherwise selling Services and/or Products to, any other person or entity. Neither party nor any other agents or employees, officers, directors or shareholders shall be deemed a representative or agent of the other, nor shall either party hold itself out as a representative or agent of the other beyond the scope of the Agreement and/or these T&C, and, neither of them shall have any right or authority to conduct any business in the name of, or for the account of or on behalf of the other. The parties hereto agree and understand that, solely with respect to the Agreement and/or these T&C, Barentz will be and act as an independent contractor of Customer, Customer and Barentz are separate entities and that there is no master/servant, partnership, joint venture, principal/agent, or employer/employee relationship between the parties. 

19. Applicable Law. These T&Cs and all Agreements shall be governed by and construed in accordance with the federal laws of the United States of Mexico, without regard to choice or conflict of law principles and without regard to the United Nations Convention on Contracts for the International Sale of Products. 

20. Dispute Resolution. In the event a dispute arises under these T&C or an Agreement such dispute shall be submitted to arbitration and resolved by arbitration administered by the International Chamber of Commerce in accordance with its International Court of Arbitration rules. There shall be one single arbitrator who shall be appointed in accordance with said Rules. The place of arbitration shall be Mexico City, Mexico. The language of the arbitration shall be English. The fees of any arbitration shall be borne equally by Barentz and Customer. The arbitrator shall have the power to enter temporary restraining orders, preliminary and permanent injunctions, subject to the provisions of these T&C and/or any Agreement waiving or limiting that remedy. All arbitration proceedings shall be closed to the public and confidential and all records relating thereto shall be permanently sealed, except as necessary to obtain court confirmation of the arbitration award. The parties waive any right of appeal against the award issued in any arbitration. 

21. Choice of Language. The Parties have expressly requested that these T&Cs and any ancillary documents be drafted in English. Las Partes han solicitado expresamente que estos T&Cs y cualquier documento auxiliar se redacten en inglés.



GRUPO BARENTZ MEXICO, S. DE R.L. DE C.V. – Términos y Condiciones de Venta


1. Aplicabilidad. El contrato de suministro aplicable ("Contrato de Suministro"), la factura, la solicitud de crédito, la orden de compra, el contrato, o cualquier documento(s) auxiliar(es) de los anteriores (en conjunto con el Contrato de Suministro, el "Contrato"), por y entre la entidad o persona denominada como "cliente", "comprador" o "compradora" en el Contrato ("Cliente"), y GRUPO BARENTZ MEXICO, S. DE R.L. DE C.V., una sociedad de responsabilidad limitada de constituida bajo las leyes aplicables de México, junto con sus Afiliados, (colectivamente, "Barentz") como vendedor de Productos o Servicios, colectivamente como las "Partes", y cada una de ellas como la "Parte", se encuentra sujeto a los siguientes Términos y Condiciones de Venta generales ("T&C").(Un "Afiliado" significa cualquier compañía que Controle, que esté Controlada por, o que esté bajo Control común con otra compañía, ya sea directa o indirectamente; y "Control" significa la capacidad de ejercer más del cincuenta por ciento (50%) de los derechos de voto con respecto a una compañía, ya sea directa o indirectamente, o la capacidad de nombrar a más de la mitad de los miembros de la junta directiva de una compañía). Estos T&C tienen prioridad absoluta y prevalecen sobre cualesquiera condiciones del Cliente y la aceptación del Contrato está expresamente condicionada a la conformidad del Cliente, con las condiciones contenidas en el presente, sea manifestado de forma expresa, según se indica más adelante, incluyendo cualquier condición adicional o diferente. La colocación de una orden de compra, la ejecución o aceptación, según sea el caso, del Contrato por parte del Cliente o cualquier aceptación por parte del Cliente de Servicios o Productos deberá constituir la aceptación por parte del Cliente de estos T&C. En caso de inconsistencias entre el Contrato de Suministro y estos T&C, prevalecerá el Contrato de Suministro. En el caso de que el Cliente intente cambiar o añadir cualesquiera términos y/o condiciones, Barentz rechaza afirmativamente cualesquiera dichas modificaciones a menos que Barentz lo acepte expresa y específicamente por escrito. Ninguna conducta por parte de Barentz, incluyendo, pero sin limitarse a ello, (i) la aceptación de una orden de compra sin rechazar expresamente los términos o condiciones preimpresos o estándar del Cliente reflejados en ella; (ii) la entrega de los Productos; o (iii) la aceptación de pago de los Productos constituirá la aceptación por parte de Barentz de dichos términos o condiciones modificados o adicionales, a menos que esto sea aceptado por Barentz y sea debidamente notificado al Cliente por escrito con la firma del representante legal de Barentz. Al aceptar estos T&C de forma expresa o implícita, según lo dispuesto en el presente documento, el Cliente renuncia a las provisiones legales que rijan los términos y condiciones del Contrato de Suministro, o cualquier otro Contrato o que modifique la interpretación de estos T&C, incluyendo pero sin limitar, la "regla knock-out", así como cualquier otra doctrina similar bajo la jurisdicción competente, tales como el Código Comercial Uniforme de los Estados Unidos de América, el Código de Comercio de México o el Código Civil Federal, o de cualquier subdivisión política, por lo tanto, dichas provisiones legales y doctrinas no se aplicará si la interpretación del Contrato es necesaria bajo la ley. Asimismo, por la aceptación de estos T&C, los T&C regirán únicamente todos los asuntos relacionados por cualquier Contrato se rija

2. Definiciones. Todos los términos escritos con mayúsculas no definidos en contrario en estos T&C tendrán los significados atribuidos a dichos términos en el Contrato de Suministro. "Productos": productos o bienes, según lo previsto en el Contrato, ofertados, vendidos y proporcionados al Cliente por Barentz. "Servicios": servicios, según lo previsto en el Contrato, ofertados y proporcionados al Cliente por Barentz.

3. Entrega de Servicios y Productos. El Cliente puede ordenar Servicios o Productos de conformidad con estos T&C o el Contrato entregando a Barentz una orden de compra por escrito en la que se especifiquen los Servicios o Productos específicos que se solicitan, la cantidad, la fecha de entrega, la dirección de entrega y cualquier otra información requerida por Barentz. Todas las órdenes de compra están sujetas a la aceptación de Barentz, por escrito. Barentz proporcionará al Cliente los Servicios o Productos por los precios previstos en el Contrato. Con respecto a la cantidad de Productos a ser entregados, Barentz se reserva el derecho de desviarse de la misma hasta un cinco por ciento (5%) (al alza o a la baja) y en caso de desviación se facturará la cantidad real entregada. En la medida en que Barentz acepte una orden con una fecha de entrega indefinida, Barentz tendrá el derecho a programar la fabricación y la entrega a su conveniencia y a retener dichos Productos previo a dicha entrega por cuenta y riesgo del Cliente. El Cliente será responsable de todos los gastos de envío, costos del seguro, impuesto sobre las ventas/derechos, impuestos/derechos al uso, las aduanas, los derechos y las tarifas asociadas a los Servicios o Productos de conformidad con el Incoterm acordado. Salvo que se establezca lo contrario en el Contrato, todos los Productos se enviarán EXW (Incoterms 2020 o versión más reciente) a las instalaciones o locales de Barentz. En ausencia de un convenio por escrito entre Barentz y el Cliente, Barentz utilizará su criterio en cuanto al método de envío y el Cliente acuerda aceptar dicho método de envío y pagará los costos de dicho envío. Todo el riesgo de pérdida se transfiere al Cliente cuando los Productos se entreguen de conformidad con el Incoterm acordado. El Cliente no puede modificar, terminar, cancelar o alterar de otro modo las órdenes, ni diferir el envío, después de la aceptación de la orden por parte de Barentz, sin el consentimiento previo por escrito de Barentz, el cual puede ser negado, retenido o condicionado a discreción de Barentz. Todos los artículos personalizados o no estándar, si los hubiera, se pedirán a Barentz y se suministrarán al Cliente solo de forma no cancelable ni retornable. Los plazos de entrega se extenderán para todos los artículos personalizados o no estándar debido a cualquier material especializado o investigación y desarrollo necesario.

4. Rechazo de Productos o Servicios. En caso de que el Cliente rechace por error los Servicios o Productos, o cancele o repudie cualquier Contrato de compra de Servicios o Productos, el Cliente será responsable e indemnizará a Barentz en contra de la responsabilidad y los gastos incurridos y los compromisos realizados por Barentz. Adicionalmente a todos los demás daños y perjuicios, el Cliente pagará a Barentz una tarifa de cancelación equivalente al quince por ciento (15%) del valor del contrato de los Servicios completados o de los Productos completados y listos para su envío. En caso de que el Cliente incumpla con pagar puntualmente a Barentz cualquier cantidad adeudada y exigible a Barentz (incluyendo cualquier recargo, impuesto o cargo de transportación aplicable), Barentz tendrá derecho a terminar cualquier orden o cualquier parte no cumplida de la misma, y Barentz podrá rescindir cualquier otro Contrato entre Barentz y el Cliente. Las fechas de entrega son aproximadas. Barentz no será responsable de ningún retraso en la ejecución del Contrato o en la entrega de los Servicios o Productos, o por cualesquiera daños sufridos por el Cliente con motivo del retraso. La aceptación de los Productos de conformidad con la Sección 6 del presente en el momento de la entrega, constituirá una renuncia por parte del Cliente a cualquier reclamación por daños debido a la falta de envío o a retrasos en la entrega o el cumplimiento.

5. Precios. Todos los precios están sujetos a cambios sin previo aviso y excluyen el IVA y los impuestos sobre la venta, los servicios o el uso, que se añadirán a la factura según el porcentaje aplicable. Los Productos se facturarán al precio en vigor al momento del envío. Los envíos realizados en la, o posteriormente a la, fecha de entrada en vigor de un cambio de precio se facturarán al nuevo precio. En caso de disminución del precio, no se permitirá el ajuste del precio en las órdenes entregadas al transportista o al Cliente antes de dicho cambio de precio. Barentz tendrá derecho a transferir al cliente, mediante el correspondiente ajuste de precio, cualquier aumento de los precios, los cambios en los tipos de cambio, los derechos de importación y todas las demás circunstancias externas que aumenten el valor del costo, que se produzcan después de la conclusión de la orden. Adicionalmente, el Cliente reconoce por el presente que, debido a la incertidumbre mundial, los transportistas y proveedores están alegando escasez de equipos y recursos, así como interrupciones en el transporte, por lo que están imponiendo aumentos significativos en las tarifas y cargos por servicio, así como recargos con los retrasos asociados. Como resultado, Barentz no puede contabilizar (y el Cliente reconoce por el presente) la escasez o la incapacidad de obtener (en los términos habituales de Barentz y de sus fuentes habituales de suministro) energía, mano de obra, maquinaria, instalaciones, materias primas, transportación, suministros u otros recursos o servicios adecuados o suficientes. Consecuentemente, los Productos o Servicios están sujetos a posibles demoras, cargos y/o recargos fuera del control de Barentz y sus proveedores. A la absoluta y sola discreción de Barentz, estos cargos y/o recargos adicionales se añadirán a la factura proporcionada al Cliente y el Cliente se compromete a pagarlos. Barentz hará esfuerzos comercialmente razonables para informar al Cliente si se incurrirá en dichos cargos y/o recargos. Dicho cambio de precio no dará derecho al Cliente a la suspensión total o parcial o a la rescisión del Contrato ni a ninguna contraprestación. A discreción única y absoluta de Barentz, en la medida máxima legalmente permitida, conservará el derecho de asignar, pignorar, descontar o factorizar sus cuentas por cobrar o facturas que surjan de ventas al Cliente o cualquier orden de compra emitida por el Cliente a un tercero.

6. Inspecciones e Inconformidad. El Cliente deberá inspeccionar los Productos dentro de las VEINTICUATRO (24) HORAS posteriores a la entrega de los Productos en su destino de envío. El Cliente notificará a Barentz por escrito, en un plazo de diez (10) días a partir de la entrega, cualquier reclamación por incumplimiento de los Productos con las especificaciones o el grado establecido en el Contrato y otorgará a Barentz una oportunidad razonable para inspeccionar dichos Productos a fin de permitir a Barentz verificar la supuesta inconformidad y, tras dicha verificación, ordenar un envío de sustitución (si es posible). El incumplimiento del Cliente en notificar a Barentz dentro de diez (10) días a partir de la entrega, cualquier supuesta inconformidad con los Productos constituirá un reconocimiento por parte del Cliente de su conformidad con los Productos entregados y constituirá una aceptación irrevocable de dichos Productos por parte del Cliente, renunciando automáticamente a cualquier reclamación por parte del Cliente con respecto a lo anterior. Cualquier defecto latente que no sea razonablemente detectable al recibir los Productos se notificará a Barentz inmediatamente después de su detección por parte del Cliente, pero en ningún caso posterior a los seis (6) meses después de la entrega de los Productos. El hecho de que el Cliente no notifique cualquier reclamo por defecto latente dentro de dichos seis (6) meses posteriores a la entrega de los Productos será considerado como una renuncia absoluta e incondicional a dicho reclamo. Todas las solicitudes de devolución a Barentz de cualquier Producto inconforme se harán por escrito e deberán incluir el número de orden del Cliente, el número de confirmación de orden de Barentz, el número de factura de Barentz, cualquier otra información requerida por Barentz, e indicarán razonablemente los motivos de dicha devolución. Las devoluciones están prohibidas sin la autorización previa por escrito de Barentz, misma que puede ser retenida a discreción de Barentz. En caso de una devolución permitida, Barentz tendrá la opción de cobrar al Cliente un honorario de reabastecimiento de existencias.   Ninguna reclamación, devolución o sustitución respecto a los Productos que hayan sido alterados, mezclados, mal utilizados, descuidados, dañados o almacenados de cualquier manera será permitida. Ninguna reclamación dará derecho al Cliente a terminar el Contrato o a la suspensión de cualquier obligación derivada del Contrato. Barentz puede exigir que el Cliente destruya los Productos que de otro modo serían devueltos, de conformidad con las instrucciones otorgadas por Barentz y a costo de Barentz, en el entendido de que estos costos serán razonables y deberán haber sido aprobados previamente por escrito. Si Barentz require que se destruyan Productos, el Cliente deberá presentar una prueba de destrucción y Barentz podrá requerir que un representante de Barentz supervise la destrucción.

7. Pagos, Impuestos y Contabilidad. Barentz facturará al Cliente los Servicios o Productos, los servicios de venta y los impuestos sobre el uso y cualesquiera costos de envío, de aduanas, derechos y tarifas (de conformidad con el Incoterm acordado) asociados a los Servicios o Productos (cada uno, una "Factura"). Salvo que se acuerde lo contrario por escrito con Barentz, el Cliente acuerda pagar cada factura dentro de los treinta (30) días naturales posteriores a la fecha de cada factura. En caso de desviación del plazo de pago acordado, Barentz se reserva el derecho de entregar C.O.D. o requerir el pago por adelantado, en cuyo caso el Cliente estará obligado por aquel, si a la sola opinión de Barentz dicho método de pago es necesario considerando la situación financiera del Cliente, lo que ocurrirá, entre otras cosas, si el Cliente no cumple estrictamente con sus obligaciones ante Barentz o ante cualquier otro proveedor y si se embarga alguno de los activos del Cliente. Barentz se reserva el derecho de aplicar todos y cada uno de los pagos a los saldos vencidos. La obligación de Barentz con respecto a cualquier error que resulte en pagos excesivos del Cliente por los Servicios o Productos se limita al otorgamiento de créditos en la factura por un monto equivalente a las cantidades facturadas erróneamente. En ninguna circunstancia un error de facturación afectará a la obligación del Cliente de pagar los Servicios o Productos. Barentz tendrá derecho a emplear un abogado para cobrar cualquier saldo adeudado bajo los T&C y/o el Contrato, y el Cliente acepta pagar todos los costos de cobro incurridos por Barentz, incluyendo sus honorarios razonables de abogado.

USTED, COMO CLIENTE, RECONOCE Y ACREPTA QUE, DERIVADO DEL INCREMENTO EN EL FRAUDE EN COMUNICACIONES ELECTRÓNICAS Y TRANSFERENCIAS, GRUPO BARENTZ MEXICO, S. DE R.L. DE C.V. Y SUS AFILIADOS, FILIALES, CONSEJEROS, EMPLEADOS, AGENTES Y REPRESENTANTES RARA VEZ CAMBIAN, O COMUNICAN CAMBIOS RELACIONADOS CON, LAS INSTRUCCIONES DE TRANSFERENCIA ELECTRÓNICA, BANCARIA O DE PAGO.  EN CASO DE QUE RECIBA NUEVAS INSTRUCCIONES O CAMBIOS A  LAS INSTRUCCIONES DE TRANSFERENCIA ELECTRÓNICA, BANCARIA O DE PAGO, USTED ACUERDA CONTACTAR DE INMEDIATO AL REPRESENTANTE DE BARENTZ POR TELÉFONO A FIN DE CONFIRMAR INDEPENDIENTEMENTE LA VALIDEZ DE DICHAS INSTRUCCIONES. BARENTZ RENUNCIA TODAS Y CADA UNA DE LAS RESPONSABILIDADES DERIVADAS DEL INCUMPLIMIENTO DE LO ANTERIOR.

8. Reserva de Dominio. Barentz conserva el dominio de todos los Productos entregados por Barentz al Cliente. El dominio de los Productos únicamente pasará al Cliente cuando éste haya cumplido con todas sus obligaciones de pago bajo el Contrato o de cualquier otro contrato con Barentz, incluyendo lo que el Cliente pueda adeudar por su incumplimiento de sus obligaciones bajo dichos contratos. Sin perjuicio de esta reserva de dominio, el riesgo sobre los Productos entregados será asumido por el Cliente desde el momento de la entrega de conformidad con el Incoterm acordado. El cliente deberá informar inmediatamente a Barentz en caso de que se haya impuesto un embargo sobre los Productos entregados y sobre los cuales aún se conserva el dominio. Asimismo, el Cliente deberá notificar inmediatamente al acreedor del embargo el hecho de que el dominio de los Productos embargados pertenece a Barentz. Si el Cliente incumple con sus obligaciones de pago ante Barentz o hace que se tema que vaya a incumplir dichas obligaciones, Barentz tendrá derecho a recuperar los Productos sobre los que aún se conserve el dominio. Después de que Barentz haya manifestado la titularidad del dominio, el Cliente permitirá a Barentz ingresar a los lugares donde se encuentren los Productos retenidos.

9. Confidencialidad. Barentz podrá, en el transcurso del tiempo, proporcionar al Cliente o el Cliente podrá tener acceso a la Información Confidencial de Barentz. "Información Confidencial" significará cualquier información en cualquier formato, revelada o puesta a disposición por Barentz o sus representantes al Cliente o a sus representantes, que el Cliente sepa o tenga razones para saber (ya sea porque dicha información está marcada o de otra forma identificada por Barentz de manera oral o escrita como confidencial o privilegiada, porque tiene valor comercial, porque no es generalmente conocida en el giro o la industria correspondiente, o porque una persona razonable la consideraría confidencial) que es información confidencial, e incluirá, sin limitación, (i) los secretos comerciales de Barentz (definidos como información, incluyendo, pero no limitado a, la totalidad o cualquier parte o fase de cualquier información científica o técnica, diseño, proceso, procedimiento, fórmula, receta, patrón, compilado, programa, aparato, método, técnica o mejora, o cualquier información o planes de negocio, información financiera o listado de nombres, domicilios o números de teléfono, que satisfaga los dos siguientes: (1) tenga un valor económico independiente, real o potencial, por no ser generalmente conocido y no ser fácilmente determinable por medios adecuados por otras personas que puedan obtener un valor económico de su divulgación o uso; y (2) sea objeto de esfuerzos razonables según las circunstancias para mantener su secreto), know how, inventos, ideas, descubrimientos, desarrollos, procesos, fórmulas, recetas, diagramas, planos, diseños, software, aplicaciones, códigos fuente y objeto, datos, programas, mejoras, técnicas, datos y especificaciones de productos, resultados de pruebas y otra información técnica, los Productos y Servicios de Barentz y los productos y servicios de sus clientes y posibles clientes; (ii) información relativa al negocio de Barentz y/o al negocio de sus clientes y posibles clientes, incluyendo planes para investigación, desarrollo y nuevos productos, información de costos, beneficios, información de ventas, información contable y financiera, planes de negocio, mercados y métodos de marketing, estrategias de publicidad, listas de clientes e información de clientes, técnicas de compra, listas de proveedores e información de proveedores; y (iii) información relativa a los empleados de Barentz, incluyendo sus sueldos y habilidades. Salvo lo expresamente permitido en el presente, el Cliente (i) no revelará ninguna Información Confidencial a ningún tercero ni utilizará nada de la Información Confidencial para ningún fin, salvo que sea necesario a fin de cumplir con sus obligaciones o ejercer sus derechos conforme a lo establecido en el presente documento o en el Contrato; y (ii) utilizará las salvaguardas adecuadas con el objeto de proteger la Información Confidencial en contra del acceso o la divulgación no autorizados y no tendrá menos cuidado para salvaguardar la Información Confidencial de Barentz que el que el Cliente tenga para salvaguardar su propia Información Confidencial. La Información Confidencial no incluirá ninguna información que: (i) corresponda en sustancia con información desarrollada por el Cliente sin referencia a la Información Confidencial o que estuviera legalmente en posesión del Cliente previo a recibirla de Barentz; (ii) sea o llegue a ser públicamente conocida sin culpa del Cliente; o (iii) llegue a estar legalmente a disposición del Cliente por un tercero del que el Cliente no sepa que tiene una obligación de confidencialidad con Barentz. A la rescisión del Acuerdo, toda la Información Confidencial y otra información deberá ser devuelta o destruida prontamente cuando se solicite, el Cliente no conservará ninguna copia de la misma, y el Cliente no utilizará a partir de entonces dicha información en ningún aspecto. El Cliente no realizará, o causará la realización de, (i) ninguna prueba analítica con el fin de identificar la composición química o la integración; o (ii) ningún método analítico relacionado con la ingeniería inversa o la reproducción de cualquier muestra o Producto de Barentz, ni utilizará o venderá productos que hayan sido objeto de ingeniería inversa derivada de los Productos. El cliente no venderá, transferirá o confiará ninguna muestra a terceros, sin el consentimiento previo por escrito de Barentz. Ningún derecho o licencia en la Información Confidencial se concede a través del presente Contrato, a menos que se indique expresamente.

10. No interferencia. El Cliente se compromete, durante la Vigencia del Contrato y durante los veinticuatro (24) meses posteriores a la terminación del Contrato por cualquier motivo, a no solicitar, inducir o intentar solicitar o inducir, directa y/o indirectamente, a ninguno de los proveedores con los que, según el conocimiento del Cliente, Barentz haga negocios, a terminar la relación de dicho proveedor con Barentz, ni a interferir o perturbar (o intentar interferir o perturbar) dicha relación.

11. Propiedad Intelectual. Salvo por la licencia limitada concedida conforme a esta Sección 11, el Cliente no tendrá ningún derecho con respecto a la Propiedad Intelectual existente o adquirida o desarrollada con posterioridad por Barentz, tal y como se define a continuación, los derechos o los secretos comerciales o la Información Confidencial de Barentz, y el Cliente reconoce por la presente que no adquirirá cualesquiera derechos con respecto a aquellos y que toda dicha Propiedad Intelectual, los secretos comerciales y la Información Confidencial son y seguirán vertidos en, o controlados por, Barentz. Salvo que se acuerde algo distinto por escrito, todos y cada uno de los Productos y/o Servicios, junto con todos y cada uno de los Derivados de los mismos, se considerarán Propiedad Intelectual de Barentz. "Propiedad Intelectual", a efectos de estos T&C, significa toda la propiedad intelectual o propiedad industrial en cualquier jurisdicción, ya sea o no archivada, perfeccionada, inscrita o registrada, incluyendo sin limitación: (i) patentes, solicitudes de patentes, solicitudes provisionales, revelaciones de patentes, incluidas todas las ideas, invenciones y mejoras reveladas en ellas, y todas las reemisiones, continuaciones, continuaciones parciales, divisiones y reexámenes de las mismas; (ii) marcas comerciales, marcas de servicio, nombres comerciales, imagen comercial, logotipos, eslóganes, nombres de dominio, incluyendo todos los fondos de comercio correspondientes  las mismas, y todos los registros y solicitudes de registro de aquellas y todas las renovaciones y prórrogas de las mismas; (iii) obras de autor, derechos de autor, derechos morales y obras de cobertura y todas las inscripciones y solicitudes de inscripción de las mismas; (iv) el software computacional, las aplicaciones y plataformas de software, los sitios web, los discos, las unidades de disco, los datos, las bases de datos y la documentación de los usuarios y audiovisuales, los nombres de dominio y los materiales textuales; (v) todos los secretos comerciales, los materiales de investigación y desarrollo, los procesos, los procedimientos, el know how, los descubrimientos de ideas, invenciones, listas de clientes, listas de proveedores, fórmulas, recetas, planos y diseños, datos técnicos, planes de marketing, financieros y comerciales; (vi) materiales publicitarios actualmente o en el futuro utilizados por Barentz; y (vii) copias y representaciones tangibles de las mismas (en cualquier formato o medio), así como la documentación y el fondo de comercio relacionados. "Derivado" significa (a) cualquier trabajo, producto, servicio, modificación, alteración, Mejora, nueva versión, traducción, adaptación, diseño, concepto, elemento de interfaz, materiales y documentación, en cualquier medio, formato o forma, que se derive de cualquier manera, directa o indirectamente, de cualesquiera Servicios o Productos o cualquier parte o aspecto de los mismos; (b) todos los "trabajos derivados" de cualesquiera Servicios o Productos, tal y como se entiende en las leyes de derechos de autor de los Estados Unidos (o cualquier concepto equivalente en cualquier jurisdicción aplicable); y (c) todos los materiales y documentación relacionados con cualquiera de los anteriores. "Mejora" significa cualquier cambio o adición que, cuando se realiza, adiciona una nueva función o mejora la utilidad, eficiencia, capacidad funcional o aplicación.  El Cliente reconoce y acepta que Barentz posee el derecho, titularidad e interés exclusivo sobre toda la Propiedad Intelectual de Barentz. El Cliente no hará ni permitirá en ningún momento durante la Vigencia ningún acto o cosa que desafíe, impida o pueda desafiar o impedir los derechos de Barentz respecto a la Propiedad Intelectual de Barentz. El Cliente nunca declarará que tiene la propiedad de cualquier Propiedad Intelectual de Barentz. El Cliente acepta de forma expresa que cualquier uso y buena voluntad de la Propiedad Intelectual se acumulará al beneficio exclusivo de Barentz. En la medida en que el Cliente adquiera cualquier derecho sobre la Propiedad Intelectual de Barentz no obstante lo anterior, incluyendo concretamente a través de la concepción o creación de cualquier Derivado, el Cliente por el presente cede y se compromete a ceder, cualesquiera derechos, titularidades e intereses sobre dicha Propiedad Intelectual a Barentz y por el presente se compromete a tomar cualquier acción y firmar cualquier documento razonablemente necesario para Barentz a fin de dar efecto a dicha cesión. El Cliente le declara y garantiza a Barentz que posee o ha obtenido todos los derechos sobre la PI del Cliente necesarios y suficientes para permitir a Barentz proporcionar los Servicios y/o Productos al Cliente. En la medida en que cualquier Propiedad Intelectual de Barentz se incorpore a cualesquiera Productos o Servicios y mientras el Cliente haya pagado a Barentz todois y cada uno de los montos adeudados a Barentz, Barentz por el presente concede al Cliente una licencia limitada, revocable, libre de regalías, no cedible, no sublicenciable y no exclusiva para usar dicha Propiedad Intelectual de Barentz exclusivamente con su comercialización y venta de los Productos. El Cliente no tendrá ningún interés en, o derecho sobre, la Propiedad Intelectual de Barentz más allá de la licencia descrita previamente. En la medida en que sea aplicable, el Cliente por medio del presente concede a Barentz, y Barentz acepta del Cliente, una licencia libre de regalías y perpetua para utilizar la PI del Cliente en el curso de la prestación de Servicios y/o Productos al Cliente. A efectos de los presentes T&C, "PI del Cliente" significará la Propiedad Intelectual del Cliente proporcionada por el Cliente a Barentz y utilizada para proporcionar y/o crear (según sea el caso) los Servicios y/o Productos. Barentz no otorga ninguna garantía con respecto a la Propiedad Intelectual, incluyendo, pero no limitado a, la exactitud, utilidad o integridad de la misma.

Las obligaciones de Propiedad Intelectual bajo esta Sección 11 continuarán de forma indefinida.

12. Recursos. Las partes reconocen y aceptan por medio del presente que el alcance de los daños en caso de violación de las obligaciones restrictivas contenidas en estos T&C puede ser difícil o imposible de determinar y que puede no haber un recurso adecuado en la ley en caso de cualquier violación. Consecuentemente, en caso de dicha violación, la parte cumplida tendrá derecho, además de cualquier otro recurso que pueda tener por ley, a solicitar un mandato judicial u otra reparación patrimonial para hacer cumplir alguna o todas las obligaciones contenidas en estos T&C. La parte incumplida renuncia expresamente (i) a la defensa de que un recurso por daños y perjuicios será adecuado y (ii) a cualquier requisito en una acción de cumplimiento específico o de mandato judicial para el establecimiento de una fianza.

Los derechos, facultades y recursos que puedan ser dados a, o conservados por, las partes por estos T&C y el Contrato serán acumulativos y se sumarán a todos los demás recursos previstos por la ley o el patrimonio. Estos T&C y el Contrato no se interpretarán a fin de privar a las partes de cualesquiera otros derechos, facultades y recursos otorgados por la ley o el patrimonio. Ningún retraso o falta por parte de Barentz en el ejercicio de cualquier derecho o recurso y ningún ejercicio parcial o único de dicho derecho o recurso constituirá una renuncia por parte de Barentz a dicho derecho o a cualesquiera otros derechos en estos T&C y/o del Contrato. Ningún consentimiento por parte de Barentz a un incumplimiento de cualquier término expreso o implícito de estos T&C y/o del Contrato constituirá un consentimiento a cualquier incumplimiento previo o subsecuente del mismo o de cualquier otro término.

13. GARANTÍA Y RENUNCIA A LA RESPONSABILIDAD. EN LA MEDIDA EN QUE SEA APLICABLE, BARENTZ GARANTIZA QUE LOS PRODUCTOS Y SERVICIOS, EN EL MOMENTO DE SU ENTREGA, CUMPLIRÁN SUSTANCIALMENTE CON LAS ESPECIFICACIONES PARTICULARES ACORDADAS POR ESCRITO. NO OBSTANTE LO ANTERIOR, EN CASO DE QUE EL CLIENTE INCUMPLA CON EL PAGO OPORTUNO DE DICHOS PRODUCTOS DE CONFORMIDAD CON LOS T&C ESTABLECIDOS EN EL PRESENTE, CUALQUIER GARANTÍA SERÁ NULA DESDE SU INICIO.  SALVO QUE SE ESTABLEZCA ESPECÍFICAMENTE EN EL CONTRATO O EN UN ESCRITO POR SEPARADO, BARENTZ RECHAZA EXPRESAMENTE TODAS LAS GARANTÍAS Y NO OFRECE NINGUNA OTRA ADICIONAL, YA SEA EXPRESA, IMPLÍCITA O ESTATUTARIA, INCLUYENDO, PERO NO LIMITADO A, CUALESQUIERA OTRAS GARANTÍAS IMPLÍCITAS O DE OTRO TIPO DE COMERCIABILIDAD, ADECUACIÓN PARA UN FIN DETERMINADO Y NO INFRACCIÓN DE LOS SERVICIOS O PRODUCTOS PROPORCIONADOS BAJO EL CONTRATO. EL CLIENTE RECONOCE, ENTIENDE Y ACEPTA QUE, A MENOS QUE SE ESTABLEZCA ALGO DISTINTO EN EL PRESENTE DOCUMENTO, BARENTZ PROPORCIONARÁ LOS SERVICIOS Y PRODUCTOS, SEGÚN CORRESPONDA, "TAL CUAL", SIN NINGUNA GARANTÍA EXPRESA O IMPLÍCITA. EL CLIENTE ASUME TODOS LOS RIESGOS Y LA RESPONSABILIDAD DE (I) LOS RESULTADOS OBTENIDOS POR EL USO DE LOS PRODUCTOS O SERVICIOS, TANTO SI SE UTILIZAN TAL Y COMO SE ENTREGAN COMO SI SE COMBINAN CON OTROS PRODUCTOS; (II) LA DETERMINACIÓN DE LA ADECUACIÓN PARA SU USO EN OTROS PRODUCTOS O EN CONJUNTO CON ELLOS; (III) LA VERACIDAD Y EXACTITUD DEL MARKETING Y LA PUBLICIDAD DEL CLIENTE DE CUALQUIER PRODUCTO DEL CLIENTE AL QUE PUEDAN INCORPORARSE LOS PRODUCTOS; (IV) LA OBTENCIÓN DE APROBACIONES GUBERNAMENTALES EN MATERIA DE SALUD, SEGURIDAD, AMBIENTAL O DE OTRO TIPO PARA LA UTILIZACIÓN DE LOS PRODUCTOS; Y (V) DE CUALQUIER PÉRDIDA O DAÑO RESULTANTE DE LA MANIPULACIÓN, EL USO O EL MAL USO DE LOS PRODUCTOS POR PARTE DEL CLIENTE. EL CLIENTE DECLARA SER CONSCIENTE LAS CUALIDADES DE LOS PRODUCTOS QUE SE LE SUMINISTRAN, ASÍ COMO TODA LA NORMATIVA LEGAL RELATIVA A LOS PRODUCTOS O SERVICIOS SUMINISTRADOS, A LA QUE ESTÁ OBLIGADO COMO CLIENTE. EN EL ALMACENAMIENTO, LA REVENTA, LA TRANSPORTACIÓN Y EL USO DE LOS PRODUCTOS SUMINISTRADOS, ASÍ COMO EN TODOS LOS DEMÁS ACTOS RELACIONADOS CON ELLOS, EL CLIENTE SE COMPROMETE A RESPETAR ESTRICTAMENTE LAS NORMAS LEGALES CORRESPONDIENTES Y LAS INSTRUCCIONES DE BARENTZ AL RESPECTO. ADICIONALMENTE, BARENTZ RECHAZA EXPRESAMENTE CUALQUIER RESPONSABILIDAD POR CUALQUIER DAÑO INDIRECTO, ESPECIAL, INCIDENTAL O CONSECUENTE, INCLUYENDO, PERO NO LIMITADO A, LA PÉRDIDA DE INGRESOS O BENEFICIOS, LA PÉRDIDA DE CLIENTELA, LA INTERRUPCIÓN DE LA ACTIVIDAD COMERCIAL CAUSADA POR LA NEGLIGENCIA DE BARENTZ, LOS RETRASOS EN LOS ENVÍOS O CUALQUIER OTRO.

14. INDEMNIZACIÓN. EL CLIENTE CERTIFICA, DECLARA Y GARANTIZA QUE SE ENCUENTRA EN CUMPLIMIENTO Y TOMARÁ TODAS LAS MEDIDAS NECESARIAS PARA SEGUIR CUMPLIENDO CON TODAS LAS LEYES Y REGLAMENTOS APLICABLES. EL CLIENTE INDEMNIZARÁ, DEFENDERÁ Y MANTENDRÁ INDEMNE A BARENTZ Y A SUS AFILIADOS, FILIALES, SOCIOS, INVERSIONISTAS, ADMINISTRADORES, FUNCIONARIOS, EMPLEADOS, REPRESENTANTES Y SUS SUCESORES EN INTERÉS Y CESIONARIOS (COLECTIVAMENTE, LAS "PARTES INDEMNIZADAS") DE Y CONTRA CUALESQUIERA PÉRDIDAS, DAÑOS O GASTOS DE CUALQUIER FORMA O NATURALEZA, INCLUYENDO LOS HONORARIOS RAZONABLES DE ABOGADOS Y OTROS COSTOS DE DEFENSA LEGAL, YA SEAN DIRECTOS O INDIRECTOS, QUE ELLOS, O CUALQUIERA DE ELLOS, PUEDAN SUFRIR O INCURRIR COMO RESULTADO DE (I) CUALQUIER ACTO U OMISIÓN DEL CLIENTE; (II) UN INCUMPLIMIENTO POR PARTE DEL CLIENTE DE CUALQUIER DECLARACIÓN, GARANTÍA U OBLIGACIÓN CON CUALQUIER PARTE INDEMNIZADA; (III) UN RETIRO DEL PRODUCTO QUE NO SEA CAUSADO ÚNICA Y DIRECTAMENTE POR NEGLIGENCIA GRAVE O MALA CONDUCTA INTENCIONAL DE BARENTZ; O (IV) UNA VIOLACIÓN DEL CLIENTE DE CUALQUIER LEY, REGLAMENTO U ORDEN APLICABLE DE LOS ESTADOS UNIDOS DE AMÉRICA, CANADÁ, MÉXICO O  CUALQUIER OTRA AUTORIDAD GUBERNAMENTAL O CUASI-GUBERNAMENTAL APLICABLE.

En caso de que los Productos sean fabricados de conformidad con la PI del Cliente, los planos, modelos, muestras, o cualquier otra instrucción en el más amplio sentido de la palabra, recibida del Cliente, el Cliente garantizará que es el legítimo propietario de la PI del Cliente y en caso de cualquier controversia, el Cliente indemnizará íntegramente a las Partes Indemnizadas contra cualesquiera reclamaciones de terceros basadas en la infracción de cualquier marca, patente, modelos comerciales o de consumo o cualquier otro derecho de terceros, por la fabricación y/o suministro de dichos artículos. En caso de que cualquier tercero se oponga a la fabricación y/o suministro de los Productos referidos alegando cualquier derecho, las Partes Indemnizadas estarán incondicionalmente facultadas para cesar inmediatamente la fabricación y/o suministro y exigir la compensación de los gastos incurridos, sin perjuicio de cualesquiera reclamaciones por posibles daños y perjuicios contra el Cliente y sin que las Partes Indemnizadas sean responsables frente al Cliente por ningún concepto.

Las obligaciones de indemnización bajo esta Sección 14 continuarán indefinidamente.

15. LIMITACIÓN DE RESPONSABILIDAD. BARENTZ NO SERÁ RESPONSABLE Y RENUNCIA CUALQUIER PÉRDIDA DE INGRESOS Y CUALQUIER DAÑO INDIRECTO, INCIDENTAL, CONSECUENTE, ESPECIAL O EJEMPLAR, TALES COMO, PERO NO LIMITADO A, LA PÉRDIDA DE CONTRATO, LA PÉRDIDA DE USO DE LOS PRODUCTOS, OTRAS PÉRDIDAS DE MERCANCÍA, EL COSTO DE BIENES, MERCANCÍAS, MATERIALES E INSTALACIONES SUSTITUTOS, COSTOS DE TIEMPO DE INACTIVIDAD, COSTOS INCREMENTADOS O RECLAMACIONES DEL CLIENTE O DE LOS CLIENTES DEL CLIENTE, YA SEAN DERIVADAS DE LOS SERVICIOS, DE LOS PRODUCTOS O DE LA ACTUACIÓN DE BARENTZ BAJO EL PRESENTE O BAJO EL CONTRATO, INDEPENDIENTEMENTE DE SI DICHA RECLAMACIÓN SE PRESENTA POR AGRAVIO, INCUMPLIMIENTO DE CONTRATO, INCUMPLIMIENTO DE GARANTÍA U OTRA TEORÍA LEGAL O PATRIMONIAL. EL CLIENTE ASUME TODA LA RESPONSABILIDAD POR CUALQUIER RESPONSABILIDAD DERIVADA DE LA DESCARGA, EL ALMACENAMIENTO, EL MANEJO, EL USO Y LA ELIMINACIÓN DE CUALESQUIERA PRODUCTOS O CONTENEDOR EN RELACIÓN CON EL MISMO, INCLUYENDO, PERO NO LIMITADO A, EL USO DE DICHOS PRODUCTOS O CONTENEDORES SOLOS O EN COMBINACIÓN CON OTRAS SUSTANCIAS, EL CUMPLIMIENTO O INCUMPLIMIENTO CON CUALESQUIERA LEYES, ORDENANZAS, NORMAS Y REGLAMENTOS. NO OBSTANTE LO ANTERIOR, EL RECURSO EXCLUSIVO DEL CLIENTE CONTRA BARENTZ, Y LA ÚNICA OBLIGACIÓN DE BARENTZ, PARA TODAS Y CADA UNA DE LAS RECLAMACIONES, YA SEA POR INCUMPLIMIENTO DE CONTRATO, GARANTÍA, AGRAVIO (INCLUYENDO NEGLIGENCIA), O DE OTRO MODO, SE LIMITARÁ A LA REPARACIÓN O REEMPLAZO DE LOS PRODUCTOS INCONFORMES O AL REEMBOLSO DE LOS MONTOS PAGADOS POR EL CLIENTE A BARENTZ DIRECTAMENTE ATRIBUIBLES A LOS PRODUCTOS O SERVICIOS INCONFORMES. BARENTZ SÓLO SE HACE RESPONSABLE DE LOS COSTOS Y GASTOS DIRECTOS DE UN LLAMADO EN EL CASO DE QUE RESULTE NECESARIO LLAMAR CUALESQUIERA PRODUCTOS (i) DEBIDO A UN DEFECTO EN LOS PRODUCTOS CAUSADA DIRECTA Y EXCLUSIVAMENTE POR BARENTZ, (ii) A UNA FALLA DE LOS PRODUCTOS EN CUMPLIR CON SUS ESPECIFICACIONES RESPECTIVAS O CON LA LEGISLACIÓN APLICABLE, QUE SEA CAUSADO DIRECTA Y EXCLUSIVAMENTE POR BARENTZ Y/O ESTÉ BAJO EL CONTROL DE BARENTZ. EN TODOS LOS DEMÁS CASOS, EL CLIENTE CORRERÁ CON TODOS LOS COSTOS Y GASTOS DE DICHO LLAMADO RETIRADA. SI Y EN LA MEDIDA EN QUE UN TERCERO ESTÉ OBLIGADO A INDEMNIZAR A BARENTZ POR CUALQUIER RECLAMACIÓN DEL CLIENTE CONTRA BARENTZ, CUALQUIER LIMITACIÓN DE LA RESPONSABILIDAD DE DICHO TERCERO, EXIGIBLE ENTRE ESE TERCERO Y BARENTZ, SE APLICARÁ TAMBIÉN ENTRE BARENTZ Y EL CLIENTE. SI, Y EN LA MEDIDA EN QUE, A PESAR DE LAS DISPOSICIONES DEL CONTRATO, SE IMPONGA ALGUNA RESPONSABILIDAD A BARENTZ POR LA RAZÓN QUE SEA, ESTA RESPONSABILIDAD SE LIMITARÁ A UN IMPORTE MÁXIMO QUE NO EXCEDERÁ EL VALOR NETO DE LA FACTURA, EXCLUYENDO EL IVA Y LOS IMPUESTOS DE VENTA Y USO APLICABLES, DE LOS PRODUCTOS CONTROVERTIDOS. LAS RECLAMACIONES POR DAÑOS DEBEN SER COMUNICADAS A BARENTZ, POR ESCRITO, DENTRO DE LOS DOS (2) MESES SIGUIENTES A QUE EL CLIENTE HAYA PODIDO DESCUBRIR EL DAÑO, BAJO PENA DE PÉRDIDA DE CUALQUIER RECLAMACIÓN POR INDEMNIZACIÓN. EL CLIENTE INDEMNIZARÁ A BARENTZ POR LAS RECLAMACIONES DE TERCEROS, INCLUYENDO A LOS CLIENTES DEL CLIENTE, QUE EXCEDAN EL ALCANCE DE LA RESPONSABILIDAD MENCIONADA EN ESTA CLÁUSULA. TODAS LAS POSIBLES RECLAMACIONES LEGALES DEL CLIENTE, CON RESPECTO A LA SUPUESTA RESPONSABILIDAD DE BARENTZ, PRESCRIBIRÁN EN TODO CASO UN (1) AÑO DESPUÉS DE DESCUBRIRSE EL DAÑO Y SI EL CLIENTE NO HA INICIADO UN PROCEDIMIENTO CONTRA BARENTZ DENTRO DE ESE AÑO.

16. Rescisión y Suspensión. Si, al exclusivo juicio de Barentz, el Cliente se declara en quiebra o insolvente, su negocio se pone en manos de un administrador judicial, cesionario o fiduciario (ya sea por acto voluntario o de otro tipo), transfiere sus activos sustanciales a sus acreedores, se fusiona o es adquirido por un tercero, deja de funcionar como persona moral o no lleva a cabo sus operaciones en el curso normal del negocio, si el crédito se deteriora, no cumple adecuada u oportunamente ninguna de sus obligaciones hacia Barentz, o si el Cliente no paga a tiempo cualquier factura o cantidad debida por el Cliente a Barentz, Barentz, a su entera discreción y mediante notificación por escrito al Cliente, podrá rescindir inmediatamente el Contrato o suspender su ejecución hasta el momento en que Barentz haya recibido el pago completo de los Servicios o Productos ya entregados o en proceso. Los saldos impagados estarán sujetos a un cargo de financiamiento del dos por ciento (2%) al mes (24% anual), o al monto máximo permitido por la ley, hasta que todos los saldos impagados sean pagados en su totalidad. La rescisión del Contrato de conformidad con las disposiciones anteriores no afectará (i) a los derechos y obligaciones de las Partes con respecto a las Facturas entregadas por Barentz antes de la fecha efectiva de la terminación, ni (ii) a la terminación de las responsabilidades derivadas de la conducta anterior a la fecha efectiva de terminación.

17. Leyes y Reglamentos Federales. El Cliente reconoce que ciertos Servicios y/o Productos vendidos por Barentz bajo el presente documento y cualquier documentación y otra tecnología de Barentz pueden estar sujetos a la aplicación de leyes, reglamentos y órdenes federales, incluyendo, pero no limitado a, el Reglamento de Administración de Exportaciones mantenido por el Departamento de Comercio de EE.UU., la Ley de Permisos de Exportación e Importación de Canadá, Ley de Comercio Exterior de México, sus reglamento y normas debidamente publicadas por las autoridades competentes y los reglamentos asociados, las sanciones comerciales y económicas y los reglamentos mantenidos por la Oficina de Control de Activos Extranjeros del Departamento del Tesoro de EE.UU. o el Gobierno de Canadá, la Normativa de Tráfico Internacional de Armas mantenida por el Departamento de Estado de EE.UU., la Ley de Prácticas Corruptas en el Extranjero de EE.UU., en su versión revisada, la Ley de Soborno del Reino Unido de 2010, la Ley de Corrupción de Funcionarios Públicos Extranjeros de Canadá, Ley General del Sistema Nacional Anticorrupción de México, Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita de México (Ley de Antilavado de Dinero en México) así como todas las regulaciones y reglas publicadas por las autoridades competentes, todas las leyes locales de soborno aplicables, la Convención contra el Soborno de la Organización para la Cooperación y el Desarrollo Económico, y la Orden Ejecutiva Presidencial de los Estados Unidos 13224, u otras leyes federales similares, códigos, reglamentos, normas oficiales mexicanas, órganos normativos relacionados a la compra y venta de productos y/o prestación de servicios relevantes en cualquier otra jurisdicción (en conjunto, las "Leyes Federales"). El Cliente certifica, declara y garantiza que cumple y tomará todas las medidas necesarias para seguir cumpliendo con todas las leyes federales aplicables.  El cliente por medio del presente se compromete a defender, indemnizar y mantener indemne a Barentz de cualesquiera reclamaciones, daños, pérdidas, riesgos, responsabilidades y gastos (incluyendo los honorarios y costos de los abogados) que surjan o estén relacionados con cualquier incumplimiento de la certificación anterior.

18. Disposiciones Varias. Barentz se reserva el derecho de modificar estos T&C, de vez en cuando, a su entera discreción, sin previo aviso al Cliente. Únicamente con la excepción de las obligaciones de pago, ninguna de las Partes será responsable ante la otra por cualquier retraso o incumplimiento de cualquier desempeño en virtud del Contrato, ya sea en su totalidad o en parte, cuando el mismo se derive de causas más allá del control razonable de dicha Parte, incluyendo, pero no limitado a, incendios, accidentes, huelgas, cierres patronales, obstrucción del tráfico, escasez de material, materiales o mano de obra, movilización, guerra, restricción de importación y exportación, epidemias, pandemias o casos fortuitos, del enemigo público o del gobierno, cualquier incumplimiento, demora en el cumplimiento o rescisión de los contratos por parte de los proveedores de Barentz, el rechazo cualitativo por parte de Barentz de los Productos a entregar y cualquier dificultad o demora en el transporte o almacenamiento de los Productos vendidos o actos de terrorismo. Las cantidades de Productos que se vean afectadas por dichas circunstancias podrán ser eliminadas del Contrato sin responsabilidad alguna, pero el resto de estos T&C no se verán afectados.  Si con motivo de alguna de estas circunstancias Barentz no puede en algún momento, o a través del tiempo, abastecer la demanda total de Productos, Barentz podrá distribuir su oferta disponible entre algunos o todos los compradores, así como entre los departamentos y divisiones de Barentz, sobre la base que considere justa y práctica, sin responsabilidad por cualquier incumplimiento que pueda resultar de ello. El Cliente acepta que el hecho de que Barentz no exija en cualquier momento el cumplimiento de cualquiera de las disposiciones de un Contrato o de estos T&C no supondrá una renuncia a su derecho a exigir el cumplimiento estricto de los mismos o similares disposiciones, o de cualquier otra disposición del presente o de aquellos, en un momento posterior. Estos T&C, junto con todos y cada uno de los Contratos, constituyen el acuerdo completo y sustituyen a todos los acuerdos y entendimientos anteriores, orales y escritos, entre las Partes en relación con el objeto de los mismos. El Cliente no podrá ceder ningún Conttrato ni los derechos u obligaciones derivados de estos T&C sin el consentimiento previo por escrito de Barentz, y cualquier cesión o intento de cesión sin dicho consentimiento será nulo y sin efecto. Si dicho consentimiento es otorgado por Barentz, estos T&C serán vinculantes para el Cliente y Barentz y sus respectivos herederos, albaceas, administradores y sucesores. Los encabezados y títulos que figuran en estos T&C son sólo para facilitar la referencia y no tienen ningún significado sustancial. Salvo que se establezca por escrito lo contrario, todos los Contratos son no exclusivos. Nada impedirá a Barentz celebrar acuerdos similares o vender de otro modo los Servicios y/o Productos a cualquier otra persona o entidad. Ninguna de las partes ni ningún otro agente o empleado, funcionario, consejero o accionista se considerará representante o agente de la otra, ni ninguna de las partes se hará pasar por representante o agente de la otra más allá del ámbito del Contrato y/o de estos T&C, y, ninguna de ellas tendrá ningún derecho o autoridad para llevar a cabo ningún negocio a nombre o por cuenta de la otra. Las partes acuerdan y entienden que, únicamente con respecto al Contrato y/o a estos T&C, Barentz será y actuará como un contratista independiente del Cliente, el Cliente y Barentz son entidades diversas y que no existe ninguna relación amo/sirviente, asociación, empresa conjunta, mandante/mandatario o empleador/empleado entre las partes. 

19. Ley Aplicable. Estos T&Cs y todos los Contratos se regirán e interpretarán de conformidad con las leyes federales de México, sin considerar los principios de elección o conflicto de leyes y sin considerar la Convención de las Naciones Unidas sobre los Contratos para la Venta Internacional de Productos. 

20. Solución de Controversias. En caso de que surja una controversia en virtud de estos T&C o de un Contrato, dicha controversia se someterá a arbitraje y se resolverá mediante un arbitraje administrado por la Cámara Internacional de Comercio de conformidad con su Reglamento de Arbitraje de la Cámara de Comercio Internacional. Habrá un solo árbitro quien será nombrado de conformidad con las deposiciones del reglamento. La sede del arbitraje será en la Ciudad de México, México. El idioma del arbitraje será el inglés. Los honorarios de cualquier arbitraje serán absorbidos por partes iguales entre Barentz y el Cliente. El árbitro tendrá el poder para dictar órdenes de restricción temporal, medidas cautelares y permanentes, sujeto a las disposiciones de estos T&C y/o de cualquier Contrato que renuncie o limite dicho recurso. Todos los procedimientos de arbitraje serán cerrados al público y confidenciales y todos los registros relacionados con los mismos serán sellados permanentemente, salvo lo necesario para obtener una confirmación del laudo arbitral por parte del tribunal. Las partes renuncian a cualquier derecho de recurso contra el laudo emitido en cualquier arbitraje. 

21. Elección de Idioma. Las Partes han solicitado expresamente que estos T&C, así como cualquier documento auxiliar sean redactados en inglés. The Parties have expressly requested that these T&Cs and any ancillary documents be drafted in English.
